Agreement to Terms

By accessing and using Prospect Engine's lead purchasing service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any part of these terms, you may not use our service.

Service Description

Prospect Engine provides a premium B2B lead generation service. We deliver verified decision-maker contacts with high confidence scores, intelligence data, and company insights. Leads are generated using proprietary AI technology and verified across 12+ data sources.

Purchasing Leads

When you purchase leads from us:

• You pay $0.09 per lead delivered
• Payment is processed securely through Stripe before leads are unlocked
• Leads are delivered by 8 AM CT the next business day
• Each lead includes: contact name, email, phone, company, role, confidence score, and intelligence data
• All leads meet our 90%+ confidence standard (see Guarantee page)

Your Responsibilities

You agree to:

• Provide accurate company information and targeting criteria
• Maintain the security of your account credentials
• Use leads only for legitimate business purposes
• Comply with all applicable laws including CAN-SPAM, GDPR, and other anti-spam/privacy regulations
• Not resell, redistribute, or share purchased leads with third parties
• Report data quality issues within 7 days for replacement consideration
• Not misuse or attempt to circumvent the service

Data Rights and Usage

Your Data: By using Prospect Engine, you acknowledge and agree that information you provide (company info, targeting criteria, purchase history, usage patterns, and any other data collected) will be used by Prospect Engine to:

• Process and fulfill your lead requests
• Improve our AI algorithms, machine learning models, and lead generation quality
• Train, enhance, and optimize our verification systems and data sources
• Develop new features, products, and service enhancements
• Aggregate, anonymize, and analyze data for service improvements across all customers
• Conduct research and development to enhance product performance and results
• Test new data sources, verification methods, and prospecting techniques

You explicitly grant Prospect Engine a perpetual, irrevocable, royalty-free, worldwide license to use, process, analyze, aggregate, anonymize, and incorporate your data (including targeting criteria, purchase patterns, and usage data) for product development, service enhancement, algorithm improvement, and any other business purposes. This data usage directly improves the quality of leads and results you receive. Prospect Engine bears NO legal liability for using your data in these ways, as this usage is essential to delivering and improving the service.

Lead Data: The leads you purchase (contact information, intelligence) are yours to use for your business purposes, subject to these terms and applicable laws.

Refunds and Replacements

We do not offer refunds after leads are delivered and payment is processed. However:

• Quality issues (bounced emails, invalid phones, wrong targeting) reported within 7 days are eligible for free replacement leads

• Abuse of the replacement policy may result in service suspension

Limitation of Liability

Prospect Engine is provided "as is" without warranties of any kind, express or implied. We make no guarantees about:

• Lead conversion rates or business outcomes
• 100% accuracy of all contact information (though we guarantee 90%+ confidence)
• Uninterrupted or error-free service

To the maximum extent permitted by law, Prospect Engine and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from your use of our service.

Our total liability for any claims related to the service shall not exceed the amount you paid us in the 90 days prior to the claim.

Indemnification

You agree to indemnify and hold harmless Prospect Engine from any claims, damages, or expenses arising from:

• Your use of purchased leads in violation of applicable laws
• Your breach of these Terms of Service
• Your violation of any third-party rights
• Spam complaints or legal actions related to your use of our leads

Account Termination

We reserve the right to suspend or terminate your account at any time for:

• Violation of these Terms of Service
• Fraudulent or illegal activity
• Abuse of replacement policies
• Non-payment or chargeback disputes
• Any reason at our sole discretion

You may delete your account at any time, but purchases are final and non-refundable.

Intellectual Property

All technology, algorithms, methodologies, and processes used by Prospect Engine are our proprietary intellectual property. You may not:

• Reverse engineer or attempt to discover our lead generation methods
• Copy, modify, or create derivative works of our service
• Remove any proprietary notices or labels

Changes to Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated "Last Updated" date. Material changes will be communicated via email. Continued use of the service after changes constitutes acceptance of the new terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of DuPage County, Illinois.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
